For many years, when I worked for The Indy, we had a separate class of shares for employee-owners, who elected half the board. It was an important model of workplace democracy, empowering employees who worked for below-market wages while also providing a critical policy voice. We employee board members never had to recuse ourselves; it's the nature of a good board that its members have skin in the organization's operation and success.

To reconcile Bret McGraw's (accurate) comment with my own (accurate) observation: Like all the Ron Paul supporters within North Carolina's delegation, McGraw shouted "No!" during the voice votes and joined the calls for division. During the protracted commotion that ensued, he sat quietly.
